Terms of Service
These terms govern your access to and use of Crossocial’s social media scheduling and publishing service.
Effective date:
Agreement to these terms
These Terms of Service (the "Terms") are an agreement between you and Crossocial ("Crossocial," "we," "us," or "our"). They govern your access to and use of the Crossocial website at crossocial.com, our applications, and related services (the "Service"). By creating an account, clicking to accept, or using the Service, you agree to these Terms. If you use the Service for an organization, you represent that you have authority to bind that organization, and "you" includes that organization.
The Service
Crossocial lets you prepare, schedule, and publish content to social-media channels that you choose to connect. The Service is a tool for delivering your instructions; it does not guarantee that a third-party platform will accept, display, preserve, or distribute any content. Social platforms may change their rules, APIs, permissions, or availability at any time.
Accounts and organization access
- You must provide accurate account information and keep it up to date.
- You are responsible for safeguarding your credentials and for activity taken through your account or organization.
- You must promptly notify us at [email protected] if you suspect unauthorized access.
- Organization owners and administrators are responsible for managing their members, roles, connected channels, and content.
Your content and connected channels
You retain ownership of the content you submit to the Service. You grant us a limited, worldwide, non-exclusive license to host, copy, process, transmit, and display that content only as needed to operate, secure, and improve the Service, and to publish it to channels according to your instructions.
You are responsible for your content, the permissions you grant, and the channels you connect. You represent that you have all rights, permissions, and consents needed to use the content and authorize Crossocial to publish it. You must comply with these Terms and the terms, community standards, and developer policies of every connected platform.
Acceptable use
You may not use the Service to:
- Violate law, infringe intellectual-property or privacy rights, or breach a contract or platform rule.
- Publish harmful, deceptive, fraudulent, defamatory, abusive, or otherwise unlawful content.
- Send spam, conduct unauthorized automated activity, manipulate engagement, or evade platform limits or safeguards.
- Probe, disrupt, reverse engineer, interfere with, or gain unauthorized access to the Service, another account, or a connected platform.
- Use the Service in a way that could harm Crossocial, our users, social platforms, or the public.
Third-party services
The Service interoperates with third-party services, including social-media platforms. Your use of those services is governed by their terms and policies. We are not responsible for third-party services, their content, their availability, or their handling of information. You may disconnect a channel at any time; disconnecting it stops future activity through the Service but does not reverse content already published to that platform.
Fees and subscriptions
Paid features, if offered, are subject to the pricing, billing interval, and payment terms presented to you at purchase. Unless required by law or expressly stated otherwise, fees are non-refundable. We may change prices for a future subscription period with reasonable advance notice. You may cancel before renewal through the billing method or account controls we make available.
Intellectual property
Crossocial and its licensors own the Service, including its software, design, trademarks, and documentation, excluding your content. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to use the Service for your internal business purposes. No other rights are granted.
Suspension and termination
You may stop using the Service at any time. We may suspend or terminate access if we reasonably believe you have violated these Terms, created risk or legal exposure for us or others, or failed to pay applicable fees. Where reasonable, we will give notice and an opportunity to address the issue. Upon termination, your right to use the Service ends. Sections that by their nature should survive, including ownership, disclaimers, limitations of liability, and indemnity, will survive.
Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, CROSSOCIAL DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND UNINTERRUPTED OR ERROR-FREE OPERATION. WE DO NOT WARRANT THAT CONTENT WILL BE PUBLISHED, AVAILABLE, OR PERFORM AS INTENDED ON A THIRD-PARTY PLATFORM.
Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CROSSOCIAL AND ITS AFFILIATES, LICENSORS, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED U.S. DOLLARS (US$100) IF YOU PAID NOTHING. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
Indemnity
To the maximum extent permitted by law, you will defend, indemnify, and hold harmless Crossocial and its affiliates, officers, employees, and agents from claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from your content, your use of the Service, your connected channels, or your violation of these Terms or applicable law.
Changes to the Service or terms
We may modify or discontinue parts of the Service. We may also update these Terms. If we make a material change, we will give reasonable notice through the Service or another appropriate method. Continuing to use the Service after the updated Terms take effect means you accept them. If you do not agree, stop using the Service before the effective date.
Governing law and contact
These Terms are governed by the laws of the jurisdiction in which Crossocial is established, excluding conflict-of-laws rules, except where the law of your place of residence requires otherwise. Any dispute will be brought in the courts of that jurisdiction, unless applicable law requires a different forum.
Questions about these Terms can be sent to [email protected]. Our handling of personal information is described in our Privacy Policy.
